Job Description
Ennovi is looking for an experienced, highly motivated, committed and skilled professional with a passion for corporate governance. The successful candidate will handle, manage and oversee Ennovi group companies' corporate secretarial matters. This role reports to the Group General Counsel and is based in Singapore.
Duties and Responsibilities
Corporate Secretarial Support and Compliance:
- Support all Ennovi Holdings Pte. Ltd. Board requirements including scheduling board meetings, arranging Board members' travel itinerary and bookings, assisting Board Chairman with board related travel claims, preparing board pack for board meeting, arranging meals and refreshments for the Board members.
- Prepare board / directors' resolution and other corporate secretarial related documents as required to support Ennovi Group companies' needs and requirements, and facilitate execution of corporate documents/resolution.
- Liaise with local corporate secretarial service providers, outside legal counsel, auditors and bankers on corporate secretarial and compliance related matters, including: AGM, statutory filing (eg ACRA), bank account opening, UBO Register, facilitate XBRL conversion, statutory audit and Annual Return filing for Ennovi Group Singapore companies.
- Maintain, update and safekeep records of constitutional documents, Statutory Registers, minutes and resolutions.
- Handle KYC and other corporate secretariat related queries from internal and external stakeholders such as banks, lenders, service providers, outside legal counsel, customers, suppliers etc.
- Ensure compliance with all relevant legislation / regulations.
General Administrative Support:
- Act as CorpPass Administrator - grant and terminate user's access etc.
- Maintain Legal Department's contract repository.
- File / safekeep documents of importance including IP certificates, Insurance Certificates.
- Act as contact person for DnB and LEI subscription.
- Schedule DocuSign for company approved documents/contracts.
- Assist in ad hoc duties / assignments as and when required.
Job Requirements:
- Corporate Secretarial qualifications or equivalent.
- Minimum 6 years PQE or relevant working experience, in-house experience in a multi-national company is preferred.
- Strong command in English and excellent writing skills; proficiency in multiple languages is a plus.
- Good attention to details.
- Organized and able to manage deadlines effectively.
- Integrity and discretion required for handling confidential information.
- Strong interpersonal skills.
- Able to work independently and in a team.
- Able to work flexible hours (this role requires collaboration with colleagues in different time zones).
- Strong overall computer skills, and proficiency in Outlook, Word and Excel
- Able to work three times a week in office (you will have the option to work from home two times a week)
