Primary Job Function:

The Director in this position will utilize his/her technical accounting expertise, business understanding, and leadership to serve as a key resource to:

Determine the accounting for M&A deals and other transactions, including in-licenses, out-licenses, R&D arrangements, and collaborations,  Provide accounting guidance on other topics including revenue recognition, restructurings, establishment of reserves under various accounting rules, and accounting for various types of assets and liabilities, and Provide leadership and assist with the implementation of new accounting rules.

In each of these areas, the Director will interface with multiple functional areas within Abbott to identify the attributes of the arrangement, the applicable accounting rules, and their impact on Abbott.  The Director will also be responsible for documenting the accounting treatment and gaining the concurrence of Abbott’s auditors on complex accounting topics.

Core Job Responsibilities:

M&A Deals and Other Transactions

The position will analyze deal structures, assess alternative deal structures, and establish appropriate accounting of the deal.  When external valuation expertise is required, this position will serve as the primary interface with the valuation consultants, and will gain concurrence of the external auditors with the valuation results.  The position will establish and develop a valuation expertise, and subsequently counsel with divisions on valuation estimates.

Responsibilities include:

Review financial terms and business objectives of each proposed deal– in-licensing technology, out-licensing technology, business acquisitions, and other investments – and advise Division and Corporate Licensing and Acquisitions (L&A) and controllers as to the accounting result.  Document the accounting required for each deal in a memo to divisions, independent auditors, and DVP, Assistant Corporate Controller. Review contracts prior to execution from Corporate Controller’s perspective (including consistency with accounting resolution), and for other areas impacted and, as required, provide appropriate feedback to applicable Division, L&A and Legal. Develop and continuously improve a valuation capability within Abbott.  Serve as the primary liaison with external valuation experts on valuation engagements.  Work closely with the applicable business functions to gather and analyze data required by the valuation experts and to ensure that valuations meet Abbott’s financial reporting requirements.  Present valuation results to independent auditors and gain their concurrence on valuation results.

Provide Accounting Guidance on Other Areas of Abbott’s Operations

Responsibilities include:

Gain an understanding of the business operations that the position supports. Provide guidance to Divisions as needed on the accounting for other types of transactions.  Work closely with the Division to understand the arrangement, utilize his/her technical accounting expertise to conclude on the accounting and communicate such guidance. Provide guidance to Divisions as needed on the application of Abbott’s Corporate Finance policies. Assist with the updating of Abbott’s Corporate Finance policies as needed.

Implementation of New Accounting Rules

Monitor accounting rule-making bodies for proposed and adopted rules that may impact Abbott’s accounting.  Ensure impacts of proposed and adopted rules are communicated on a timely basis to Abbott areas affected Lead projects as needed to implement new accounting standards including developing processes needed to collect needed information on an ongoing basis. Work with Abbott’s external reporting group and its external auditors to gain alignment on the new disclosures to be included in Abbott’s financial statements.

Position Accountability / Scope:

The GS-07 equivalent is at the trainee level in the area of information technology analysis. The employee serves as a junior member of an audit team assisting with systematic performance, financial, or attestation reviews and the OIG's Office of Audit information technology programs and operations. Work assignments are selected to provide training in the analytical evaluative aspects of the work and in the appropriate use of qualitative and quantitative analysis methods and techniques. The training is directed toward the utilization of a wide range of information technology concepts, laws, policies, practices, analytical, and diagnostic methods and techniques. Assignments are selected to combine performance of productive work with supervised on-the-job training.

The employee performs assignments requiring the application of fundamental principles, concepts, techniques, and guidelines in the area of information technology for the Audit team. Assignments are of average difficulty. The employee may participate in more complex studies and projects designed to develop broader expertise, utilizing a wider range of information technology concepts, laws, policies, practices, analytical, and diagnostic methods and techniques.

Successful candidates will have relevant experience in the following:

• Participates on multiple audit projects and programs.
• Consults as needed with more experienced directorate IT Analyst or IT Specialist.
• Modifies established information technology plans and policies in response to new legislation, regulations, directives, or other guidance affecting the Office of Audit's information technology program.
• Participates in the design, development, testing, installation, and support of new and modified systems specifically used by the Office of Audit, including hardware and software.
• Evaluates agency programs and operations for compliance and adherence to regulations and adequacy of internal controls over operation
• Performs individually and as a member of an audit team, including continuing responsibility for a specific component of a project.
• Participates in meetings with OIG and USPS officials to communicate results of work.
• Makes recommendations for corrective actions and writes audit working papers and reports utilizing Generally Accepted Government Auditing Standards.
• Reviews Postal Service use of emerging technology and its implementation and recommends potential audit areas using the format prescribed by the Information Technology directorate.
• Performs other special projects and activities.

What role will you play?

As an Internal Audit Director, you will be responsible for the oversight and delivery of the audit plan, manage key stakeholder relationships as well as driving initiatives across the department. The role will require you to:

Requirements

Legal, Compliance & Audit

Under the general supervision of the Credit First National Association (“CFNA”) Audit Committee and reporting to Bridgestone Internal Audit, the Director of Internal Audit will lead the third line of defense (3LOD) function performing operational, credit, financial, information technology general controls, information security, cybersecurity, third party management and/or compliance audits. This role is tasked with the development of a risk-based audit plan with consideration to applicable federal and state laws and regulations, bank policies and procedures, safeguarding of assets, efficient operations, and risk management. In accordance with the approved plan, and by acting in an independent but consultative manner, perform detailed operational, compliance, financial, and investigative audits of bank operations; evaluate audit findings and prepare/present the results and recommendations to the Audit Committee and executive management.

• Demonstrate competency surrounding key regulations regarding consumer and small business lending and credit card operations including, but not limited to Bank Secrecy Act/Anti-Money Laundering (“BSA/AML”), Equal Credit Opportunity Act (“ECOA”), Gramm-Leach-Bliley Act (“GLBA”), Fair Credit Reporting Act (“FCRA”), Fair Debt Collection Practices Act (“FDCPA”), Fair Lending, and Unfair, Deceptive, or Abusive Acts and Practices (“UDAAP”).  Additionally, CFNA and its parent company, Bridgestone Americas, have regulatory compliance with the Japanese Financial Instruments and Exchange Act (JSOX).

• Develop a comprehensive maturation strategy for the newly installed Internal Audit department. Strategy will include improving foundational processes/methodology, and annual risk assessment framework.

• Provide leadership oversight of the planning, execution and reporting of internal audits and projects, including the supervision of internal and co-sourced auditors as well as coordination with second line compliance and risk management functions.

• Review engagement planning documentation and audit programs to ensure adequate coverage of risk and sufficient rationale for audit scope and audit procedures performed. Maintain close control over budget, schedule, resources, co-sourced audit relationship and quality.

• Effectively review and compile relevant, material findings and recommendations into readable and concise audit reports. Communicate complex results and implications, incorporating different perspectives into deliverables.

• Establish and maintain collaborative working relationships with key business leaders and stakeholders. Learn and understand the business to provide value-added services and establish credibility as a trusted advisor. Leverage specialized knowledge and skills, providing management with insight into their area of subject-matter focus, building trust and mutual respect. Effectively represent internal audit at management meetings, internal forums, and regulatory update meetings as well as to external organizations.

• Coach and manage a team of audit professionals, internal and/or external, to enhance the audit processes and continuous improvement.

• Identity potential risks and adjust the audit plan, as necessary, as the CFNA business changes or industry trends or regulations change.

• Identify and promote audit best practices related to CFNA’s core platforms, applications, and capabilities.

• Participate in new initiatives related to changes or expansion of various business lines on behalf of Audit as well as lead initial control reviews as part of Audit’s due diligence efforts.

• Deliver appropriate, succinct, and organized information, tailoring communication style to audience.

• Champions innovative techniques, the power of data, and other methods to add value and improve the effectiveness and efficiency of the Audit function and other lines of defense.

• Bachelor’s degree in business administration, Finance, Accounting, or other related discipline

• Master’s degree preferred

• 10+ years of experience in internal auditing, including:

• 7+ years of experience in banking or financial services

• 5+ years of experience in leadership or supervisory roles

• Professional certification such as Certified Public Accountant (CPA), Certified Internal Auditor (CIA), Chartered Financial Analyst (CFA), Certified Risk Manager (CRM), Certified Regulatory Compliance Manager (CRCM) or CISA (Certified Information System Auditor)

• Experience with consumer lending or credit card operations

• Strong management, organization, and prioritization skills to effectively lead, manage, and concurrently deliver multiple projects of varying size and scope.

• Strong analytical skills with the ability to quickly review, understand and analyze business and IT processes to identify control deficiencies, operating issues, and opportunities for improvement.
